DEFINITIONS

In these Terms:

• “Goods” means the goods advertised for sale on this Website from time to time.
• “Order” means a request submitted by you through this Website for the supply of specified Goods.
• “Invoice” means a document issued by us requesting payment from you for the supply of specified Goods requested in an Order.
• “Price” means our price for the Goods at the time an Order is accepted (exclusive of GST and freight).

1. ORDERS

• 1.1 Each Order must have a minimum value of $200.00 (exclusive of GST and freight). However, we may accept Orders below this amount, subject to a $10.00 handling fee (exclusive of GST).
• 1.2 All Orders are subject to our acceptance. An Order is deemed accepted only when we send you an Invoice for the Order or dispatch the Order. After placing an Order, this Website automatically sends you an order confirmation email. This email is merely an acknowledgement, not acceptance, of your Order.

2. PRICE, GST AND FREIGHT

• 2.1 All Prices are exclusive of GST and freight.
• 2.2 GST and freight (if applicable) will be applied to each Order and shown on the Invoice.
• 2.3 All Prices for Goods are subject to change without notice. However, if the Price of Goods relevant to your Order changes after you submit your Order but before we accept it, we will notify you and request confirmation before processing the Order.
• 2.4 The applicable Price for each accepted Order is the Price shown on the Invoice. All Prices on this Website are merely invitations to treat, not offers. The Prices shown on the Invoice are offers, and your payment of the Invoice or acceptance of delivery of the Goods is deemed an acceptance of those offers.

3. PAYMENT

• 3.1 Payment for the Goods, including all applicable GST, freight, and other charges (if applicable), must be made in full prior to dispatch, unless we expressly agree in writing to extend credit to you.
• 3.2 If we grant you credit terms in writing, you must pay each Invoice in full within thirty (30) days from the date of the Invoice, unless otherwise expressly agreed in writing.
• 3.3 All Invoices must be paid in full without deduction, set-off or cross-claim.
• 3.4 If you fail to pay any amount of an Invoice when due, we may suspend or cancel further supply of any Goods.

4. DELIVERY AND RISK

• 4.1 Delivery of the Goods will take place at the delivery address specified in your Order or as otherwise agreed.
• 4.2 All freight charges are your responsibility unless otherwise agreed in writing. Delivery times or dates are estimates only and not of the essence.
• 4.3 Risk in the Goods passes to you on delivery to your nominated address or collection by you or your agent.
• 4.4 We are not liable for any loss, damage, delay or non-delivery (including any consequential loss) arising from delays in delivery howsoever caused.

5. PROPERTY IN GOODS

• 5.1 Property in and title to the Goods remains with us and does not pass to you until we receive full payment for the Goods the subject of the Order and all other amounts owing by you to us (whether for the Goods or otherwise).
• 5.2 If you are in default of payment, you irrevocably authorise us (and our agents) to enter any premises where the Goods are stored to recover possession of those Goods. You must assist us (or our agents) in such recovery.

6. RETURNS AND WARRANTIES

• 6.1 Returns are only accepted with our prior written consent. Requests to return Goods must be made within seven (7) days of delivery, stating the reason for return.
• 6.2 Returns must be in original condition and packaging. All costs of return (including freight) are your responsibility unless otherwise expressly agreed in writing.
• 6.3 To the maximum extent permitted by law, all representations, warranties, guarantees and conditions (statutory or otherwise) not expressly set out in these Terms are excluded.

7. LIMITATION OF LIABILITY

• 7.1 To the maximum extent permitted by law, we are not liable for any loss, damage, cost or expense (including, but not limited to, direct, special, indirect or consequential loss, loss of profit or revenue, or loss of data) arising out of, or in connection with, the supply or non-supply of Goods, these Terms or your use of the Website, except to the extent the liability is not lawfully excludable.

8. AMENDMENTS

• 8.1 We may amend these Terms at any time by publishing the updated version on our Website. The amended Terms apply to all Orders placed after the date of publication. It is your responsibility to review the then current Terms prior to placing each Order.
• 8.2 Clause 8.1 does not limit your ability to negotiate changes to these Terms.

9. GOVERNING LAW

• 9.1 These Terms are governed by the laws of Queensland, Australia.

10. GENERAL

• 10.1 These Terms (together with our Privacy Policy, your Invoice, and any agreements relevant to your Order expressed in writing) constitute the entire agreement between you and us regarding their subject matter. These Terms supersede any prior agreements, correspondence or discussions between us and you not expressed in writing.

EXECUTION

When placing an Order via this Website and indicating acceptance (including by clicking “I accept” or equivalent), you agree to these Terms as a legally binding contract.
